Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of TextileStudio.ai (the "Platform," "Service"), operated by Rain Infotech Private Limited ("Rain Infotech," "we," "us," "our"). By creating an account, accessing, or using the Platform, you ("you," "User," "Manufacturer") agree to be bound by these Terms. If you do not agree, you must not use the Platform.

These Terms should be read together with our Privacy Policy and Refund Policy, both of which are incorporated by reference.

TextileStudio.ai is a business-to-business (B2B) platform that allows textile manufacturers to generate AI-based design previews of embroidery, zari, sequence, stone, print, and bead work designs, using a sketch, reference image, or text description, before committing to physical sample production.

We also offer an optional Windows desktop application, the TextileStudio.ai AI Automation Software, which assists in reproducing a design created on the Platform inside third-party embroidery design programs that you license separately. Use of the AI Automation Software is governed by Section 9 of these Terms and by a separate End User Licence Agreement.

TextileStudio.ai is owned and operated by Rain Infotech Private Limited, a company incorporated under the laws of India, with its registered office at Fourth Floor, B-416, Pragati Empire IT Park, VIP Circle, Utran Road, Utran, Surat, Gujarat, 394105, India.

To use TextileStudio.ai, you must:

1. Be at least 18 years of age
2. Have the legal capacity to enter into a binding contract under the Indian Contract Act, 1872
3. Be using the Platform for legitimate business purposes related to textile design, manufacturing, or trade
4. Provide accurate and current information during account registration

TextileStudio.ai is built for business use by textile manufacturers, design studios, and related trade professionals. It is not intended for personal, non-commercial, or consumer use.

3.1 Registration

To use the Platform, you must create an account by providing your mobile number and verifying it via a one-time password (OTP) sent through WhatsApp, in accordance with our Privacy Policy.

3.2 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account and for all activities that occur under your account.

3.3 One Account Per Business

Each verified mobile number is permitted one account. Creating multiple accounts to exploit free trial credits, referral rewards, or promotional offers is a violation of these Terms and may result in account suspension and forfeiture of credits, as described in Section 8.

3.4 Unauthorized Access

You must notify us immediately at [email protected] if you suspect unauthorized access to your account. We are not liable for any loss arising from unauthorized use of your account if such use results from your failure to secure access to your registered mobile number.

4.1 What TextileStudio.ai Does

Upon your input (a sketch, reference image, fabric selection, material selection, or text description), the Platform uses artificial intelligence to generate a visual preview of how a textile design may appear. This preview is intended to assist you in seeking dealer approval before committing to physical sample production.

4.2 What TextileStudio.ai Does Not Guarantee

The AI-generated preview is a visual approximation, not a guaranteed replica of any final physical product. Variations in fabric texture, color rendering under different lighting, material behavior, and craftsmanship may cause the actual physical sample to differ from the AI-generated preview. TextileStudio.ai does not guarantee that:

• A physical sample will look identical to the AI-generated preview
• A dealer who approves a preview will necessarily approve the corresponding physical sample
• The Platform will be free of errors, interruptions, or generation failures at all times

You remain responsible for your own business decisions, including decisions to proceed with physical sample production based on a preview generated through the Platform.

5.1 Credit-Based System

TextileStudio.ai operates on a credit-based pricing model. Credits are purchased in packs and consumed when you generate a design preview or use certain platform features. Current credit pack pricing, credit allocations, and discount structures are published on our pricing page and are subject to change with notice as described in Section 5.6.

5.2 Free Trial Credits

New accounts receive free trial credits upon successful registration, as specified on our pricing page at the time of signup. Free trial credits have no monetary value, cannot be exchanged for cash or refunded, and expire as described in Section 5.5.

5.3 Payment Processing

All payments for credit packs are processed through Razorpay, our third-party payment gateway. We do not store your card, UPI, or net banking credentials. By making a payment, you agree to Razorpay's applicable terms of service in addition to these Terms.

5.4 GST and Invoicing

All prices displayed on the Platform are inclusive of applicable GST (currently 18%). A GST-compliant invoice is automatically generated and sent to your registered email or WhatsApp number upon successful payment, issued under Rain Infotech Private Limited's GSTIN. If you provide your own GSTIN at checkout, it will be reflected on your invoice for the purpose of claiming Input Tax Credit, where applicable, subject to your own eligibility under GST law.

5.5 Credit Expiry

Credits purchased or earned on the Platform are subject to expiry periods that vary by credit type and pack, as published on our pricing page at the time of purchase or issuance. Expired credits are permanently forfeited and are not eligible for reinstatement, extension, refund, or conversion to cash, except where required by applicable law or as described in our Refund Policy.

We will send reminder notifications via WhatsApp before credits expire, as a courtesy. The responsibility to use credits before expiry rests with you.

5.6 Price Changes

We reserve the right to modify credit pack pricing, credit allocations, discount structures, and expiry periods at any time. Changes will not affect credits already purchased before the change takes effect. Continued use of the Platform after a price change constitutes acceptance of the new pricing for future purchases.

5.7 AI Automation File Credits

Generating and downloading an automation instruction file (.tsai) for use with the AI Automation Software consumes credits at the rate displayed at the time of generation. This rate is higher than the rate for a standard design preview. Credits are consumed when the file is generated and made available for download.

5.8 Launch and Promotional Offers

From time to time, we may offer limited-time or limited-quantity promotional pricing (such as introductory offers for a limited number of users). These offers are available strictly on a first-come, first-served basis until the stated limit is reached or the promotional period ends, whichever is earlier, and may be withdrawn or modified at our discretion without prior notice.

6.1 How It Works

Users may participate in our referral program by sharing a unique referral link. Both the referring user and the new user may receive bonus credits as described on our referral program page, subject to the terms below.

6.2 Eligibility and Verification

Referral credits are released only after the referred account is verified via WhatsApp OTP and meets the eligibility conditions published on our referral program page, including any minimum account age before referrer rewards are released.

6.3 Prohibited Referral Conduct

You may not:

• Create multiple accounts to refer yourself
• Use automated tools, bots, or scripts to generate referral signups
• Refer accounts that you control directly or indirectly
• Post referral links in a manner that violates WhatsApp's terms of service or constitutes spam

We reserve the right to investigate, withhold, or reverse referral credits, and to suspend or terminate accounts, where we reasonably believe referral terms have been violated.

6.4 No Cash Value

Referral credits have no monetary value and cannot be exchanged for cash, transferred between accounts, or redeemed for anything other than use on the Platform as described in our pricing terms.

7.1 Your Content

"User Content" means any sketch, reference image, fabric photo, text description, or other material you upload to the Platform. You retain ownership of your User Content.

7.2 License You Grant to Us

By uploading User Content, you grant Rain Infotech Private Limited a limited, non-exclusive, worldwide license to use, reproduce, and process your User Content solely for the purpose of:

• Generating the AI design preview you have requested
• Transmitting your User Content to our third-party AI generation service provider for processing
• Improving the reliability and performance of the Platform for your account
• Providing customer support related to your generation requests

We do not use your User Content to train AI models for the benefit of other users, and we do not sell, license, or share your User Content with any party for marketing or advertising purposes.

7.3 Your Responsibility for Content You Upload

You represent and warrant that you own or have the necessary rights to any sketch, reference image, or design you upload, and that your use of the Platform does not infringe any third party's intellectual property rights, including copyright, trademark, or design rights. You are solely responsible for ensuring that any reference image or style you upload for the purpose of style transfer or design generation does not unlawfully copy a third party's protected design.

7.4 AI-Generated Output

Subject to your compliance with these Terms and full payment of applicable credits, you may use the AI-generated previews produced through your account for your business purposes, including sharing with dealers, printing, or producing physical samples based on the design. Rain Infotech Private Limited does not claim ownership over designs you create using the Platform, but reserves the right to use anonymized, non-identifiable examples of generated output for internal quality improvement and product demonstration purposes, unless you opt out by writing to [email protected].

7.5 Our Intellectual Property

The Platform itself, including its software, design, interface, logos, trademarks, and underlying technology, is the property of Rain Infotech Private Limited and is protected under applicable Indian intellectual property law. Nothing in these Terms grants you any right to use Rain Infotech's or TextileStudio.ai's trademarks, branding, or proprietary technology outside the scope of using the Platform as intended.

You agree not to:

1. Use the Platform for any unlawful purpose or in violation of any applicable Indian law
2. Upload content that is obscene, defamatory, infringing, or that you do not have rights to use
3. Attempt to reverse engineer, decompile, or extract the underlying AI models or source code of the Platform
4. Use automated means (bots, scrapers) to access the Platform without our prior written consent
5. Resell, sublicense, or commercially redistribute access to the Platform itself (as distinct from the physical or digital products you create using design previews generated through it)
6. Abuse the free trial, referral program, or promotional pricing as described in Sections 5 and 6
7. Interfere with or disrupt the security or performance of the Platform
8. Use the AI Automation Software with any unlicensed, pirated, cracked, or otherwise unauthorized copy of a third-party embroidery design program
9. Use the AI Automation Software to circumvent any licensing, activation, or usage limitation of any third-party program
10. Distribute, resell, sublicense, or share the AI Automation Software or any credentials used to access it

We reserve the right to suspend or terminate any account found to be in violation of this Section, including forfeiture of any remaining credits, at our sole discretion.

This Section applies if you download, install, or use the TextileStudio.ai AI Automation Software (the "AI Automation Software"), a separate Windows desktop application that assists in reproducing a design you created on the Platform inside third-party embroidery design programs.

9.1 What the AI Automation Software Does

The AI Automation Software works by taking control of your computer's mouse and keyboard and performing clicks and keystrokes inside a third-party embroidery design program, at screen coordinates that you configure during setup. It reproduces a design based on an instruction file (.tsai) that you generate and download from the Platform.

While the AI Automation Software is running, you must not use your mouse or keyboard. The AI Automation Software performs actions based on stored screen coordinates and does not verify the state of the third-party program between actions. If the third-party program displays an unexpected window, dialog, or prompt, or if your display resolution, scaling, or window layout changes after configuration, the AI Automation Software may perform actions at unintended locations.

9.2 Genuine Licensed Third-Party Software Required

The AI Automation Software operates third-party embroidery design programs that you must obtain and license separately, including Wilcom EmbroideryStudio (Wilcom International Pty Ltd), EmCAD (Shenzhen Dahao Technology Co., Ltd.), and StitchMax (Stitchmax Solutions LLP).

You must hold a valid, current, and genuine licence for any third-party program you use with the AI Automation Software. You must not use the AI Automation Software with unlicensed, pirated, cracked, or otherwise unauthorized copies of any third-party program. We do not provide, sell, sublicense, distribute, or grant any licence to any third-party program.

9.3 Your Responsibility for Third-Party Licence Compliance

You are solely responsible for ensuring that your use of the AI Automation Software, and any automated operation of a third-party program that it performs on your behalf, complies with the licence terms, end user licence agreement, and terms of service of that third-party program. You should review those terms before using the AI Automation Software. If a third-party licensor prohibits or restricts automated operation of its software, you must not use the AI Automation Software with that program.

9.4 No Affiliation with Third-Party Software Providers

Rain Infotech Private Limited and TextileStudio.ai are not affiliated with, endorsed by, sponsored by, certified by, or in any partnership with Wilcom International Pty Ltd, Shenzhen Dahao Technology Co., Ltd., or Stitchmax Solutions LLP.

Wilcom, EmbroideryStudio, EMB, EmCAD, and StitchMax are trademarks or registered trademarks of their respective owners. Any reference to these products by us is made solely to describe compatibility and is nominative in nature. No claim of ownership, affiliation, sponsorship, or endorsement is made or implied.

9.5 Your Responsibility Before Running the AI Automation Software

Before each use of the AI Automation Software, you must:

1. Save and close all existing work in the third-party program and in any other open application
2. Run the AI Automation Software only against a new or empty document
3. Ensure your configuration of tool positions is current for your present display resolution, scaling, and window layout
4. Remain present at your computer and stop the process immediately if any unexpected dialog or behaviour occurs

You are responsible for maintaining backups of all your work, including any work belonging to your clients.

9.6 No Liability for Data Loss

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RAIN INFOTECH PRIVATE LIMITED ACCEPTS NO LIABILITY FOR ANY LOSS, CORRUPTION, DELETION, OR UNINTENDED MODIFICATION OF ANY FILE, DESIGN, DOCUMENT, OR DATA, INCLUDING WORK BELONGING TO YOUR CLIENTS, ARISING FROM OR IN CONNECTION WITH YOUR USE OF THE AUTOMATION SOFTWARE.

This is in addition to, and does not limit, the general limitations of liability in Section 12.

9.7 Beta Status

The AI Automation Software is currently provided as a beta release for evaluation. It may contain defects, may not operate reliably, and is provided on an "as is" and "as available" basis without warranty of any kind. Features may change or be withdrawn during the beta period.

9.8 Right to Modify or Discontinue

The AI Automation Software depends on the behaviour and interfaces of third-party programs that are outside our control. We may modify, suspend, limit, or discontinue the AI Automation Software, in whole or in part, at any time and without liability to you, including where a third-party program changes in a way that affects compatibility, or where a third-party licensor objects to its operation.

9.9 Separate End User Licence Agreement

Your installation and use of the AI Automation Software is additionally governed by the End User Licence Agreement presented to you at installation. In the event of a conflict between that agreement and these Terms in respect of the AI Automation Software, that agreement prevails.

9.10 Ownership of Output

Designs you produce using the AI Automation Software belong to you, subject to your compliance with these Terms, the End User Licence Agreement, and the licence terms of any third-party program used.

The Platform relies on certain third-party services to operate, including:

• Razorpay, for payment processing
• Meta's WhatsApp Business Platform, for OTP delivery and notifications
• Our AI generation service provider, for processing design generation requests

Your use of these integrated services is also subject to the relevant third party's own terms of service. We are not responsible for outages, errors, or policy changes originating from these third-party providers, though we will make reasonable efforts to minimize any impact on your use of the Platform and to credit your account for any generation that fails due to a verified third-party service error, as described in our Refund Policy.

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAIN INFOTECH PRIVATE LIMITED MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING:

• The accuracy, reliability, or completeness of AI-generated design previews
• That the Platform will be uninterrupted, timely, secure, or error-free
• That dealer approval of any preview will result in approval of the corresponding physical sample
• The fitness of the Platform for any particular business outcome
• That the AI Automation Software will operate correctly with any particular version, edition, or configuration of a third-party embroidery design program, or that it will remain compatible with future versions of those programs

You acknowledge that AI-generated design previews are tools to assist your business decisions, not substitutes for your own commercial judgment.

To the maximum extent permitted under applicable Indian law, Rain Infotech Private Limited's total liability arising out of or relating to your use of the Platform, whether in contract, tort, or otherwise, shall not exceed the total amount you have paid to us in the three (3) months immediately preceding the event giving rise to the claim.

We shall not be liable for any indirect, incidental, consequential, or special damages, including loss of business, loss of profit, or loss of goodwill, arising from your use of or inability to use the Platform, even if we have been advised of the possibility of such damages.

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable Indian law, including liability for fraud or willful misconduct.

You agree to indemnify and hold harmless Rain Infotech Private Limited, its directors, employees, and affiliates from any claim, liability, damage, or expense (including reasonable legal fees) arising from:

1. Your violation of these Terms
2. Your User Content, including any claim that it infringes a third party's intellectual property rights
3. Your use of the Platform in violation of applicable law
4. Any dispute between you and a dealer or third party arising from your use of AI-generated previews
5. Your use of the AI Automation Software, including any claim arising from your operation of a third-party embroidery design program, your compliance or non-compliance with that program's licence terms, or any loss or corruption of data on your computer

14.1 By You

You may stop using the Platform and request closure of your account at any time by following the process described in our Account Deletion Policy.

14.2 By Us

We may suspend or terminate your account, with or without notice, if we reasonably believe you have:

• Violated these Terms
• Engaged in fraudulent activity, including referral or promotional abuse
• Used the Platform in a manner that risks harm to other users, Rain Infotech, or our third-party service providers
• Failed to pay any amount due

14.3 Effect of Termination

Upon termination, your right to use the Platform ceases immediately. Any unused, non-expired purchased credits at the time of termination will be handled in accordance with our Refund Policy. Free trial and referral credits are forfeited upon termination without compensation.

We may revise these Terms from time to time to reflect changes in our services, legal requirements, or business practices. We will post the updated Terms on this page with a revised "Last Updated" date. For material changes, we will make reasonable efforts to notify you via WhatsApp or email. Continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms.

These Terms are governed by the laws of India. Subject to applicable consumer protection law, any dispute arising out of or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts in Surat, Gujarat, India.

We encourage you to first contact us at [email protected] or through our Grievance Officer to resolve any dispute informally before pursuing formal legal action.

Entire Agreement: These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Rain Infotech Private Limited regarding the Platform.

Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

No Waiver: Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision.

Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
