End User Licence Agreement — AI Automation Software

This End User Licence Agreement ("Agreement") is a legal agreement between you ("you," "User," "Licensee") and Rain Infotech Private Limited ("Rain Infotech," "we," "us," "our") for the TextileStudio.ai AI Automation Software, including all files, media, and documentation supplied with it (the "Software").

By installing, copying, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.

This Agreement should be read together with our Terms and Conditions, Privacy Policy, and Refund Policy. In respect of the Software, this Agreement prevails over our Terms and Conditions in the event of any conflict.

The Software is a Windows desktop application that assists in reproducing a design you created on TextileStudio.ai inside a third-party embroidery design program installed on your own computer.

The Software works by taking control of your computer's mouse and keyboard, and performing clicks and keystrokes in a third-party embroidery design program at screen coordinates that you configure during setup. It follows the instructions contained in an automation instruction file (.tsai) that you generate and download from TextileStudio.ai.

You must read Section 6 before using the Software for the first time.

Subject to your compliance with this Agreement, Rain Infotech grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to:

1. Install and use the Software on computers that you own or control
2. Use the Software solely for your own internal business purposes
3. Use the Software only in connection with a TextileStudio.ai account in good standing

This is a licence, not a sale. Rain Infotech retains all right, title, and interest in the Software.

You must not:

1. Copy, distribute, sell, rent, lease, sublicense, publish, or otherwise transfer the Software or any part of it
2. Reverse engineer, decompile, or disassemble the Software, except to the extent that such restriction is expressly prohibited by applicable law
3. Modify, adapt, translate, or create derivative works based on the Software
4. Remove, obscure, or alter any copyright, trademark, or other proprietary notice
5. Use the Software with any unlicensed, pirated, cracked, or otherwise unauthorised copy of any third-party program
6. Use the Software to circumvent any licensing, activation, or usage limitation of any third-party program
7. Share your TextileStudio.ai account credentials, or provide access to the Software, to any person outside your business
8. Use the Software in any manner that violates applicable law or the licence terms of any third-party software

4.1 Separate Licence Required

The Software operates third-party embroidery design programs that you must obtain and licence separately, including Wilcom EmbroideryStudio (Wilcom International Pty Ltd), EmCAD (Shenzhen Dahao Technology Co., Ltd.), and StitchMax (Stitchmax Solutions LLP).

You must hold a valid, current, and genuine licence for any third-party program you use with the Software. Rain Infotech does not provide, sell, sublicense, distribute, or grant any licence to any third-party program.

4.2 Your Responsibility for Compliance

You are solely responsible for ensuring that your use of the Software, and any automated operation of a third-party program that it performs on your behalf, complies with the licence terms, end user licence agreement, and terms of service of that third-party program.

You should review those terms before using the Software. If a third-party licensor prohibits or restricts automated operation of its software, you must not use the Software with that program.

4.3 No Affiliation

Rain Infotech Private Limited and TextileStudio.ai are not affiliated with, endorsed by, sponsored by, certified by, or in any partnership with Wilcom International Pty Ltd, Shenzhen Dahao Technology Co., Ltd., or Stitchmax Solutions LLP.

Wilcom, EmbroideryStudio, EMB, EmCAD, and StitchMax are trademarks or registered trademarks of their respective owners. Any reference to these products is made solely to describe compatibility and is nominative in nature. No claim of ownership, affiliation, sponsorship, or endorsement is made or implied.

This Section is provided so that you understand clearly what the Software does before you use it.

5.1 Control of Mouse and Keyboard

While the Software is running, it controls your mouse and keyboard. You should not use your mouse or keyboard during this time. You may stop the process at any point.

5.2 No Verification Between Actions

The Software performs actions based on screen coordinates that you configure. It does not verify the state of the third-party program between actions.

This means that if the third-party program displays an unexpected window, dialog, or prompt while the Software is running, or if your display resolution, display scaling, window position, or toolbar layout has changed since you configured the tool positions, the Software may perform clicks and keystrokes at unintended locations.

5.3 Stopping Partway

If you stop the process before it finishes, any partially completed work remains in your third-party program for you to keep, correct, or discard as you choose.

Before running the Software, you must:

1. Save and close all existing work in your third-party embroidery design program and in any other open application
2. Run the Software only against a new or empty document
3. Verify your tool position configuration is current for your present display resolution, scaling, and window layout
4. Remain present at your computer and stop the process immediately if any unexpected dialog or behaviour occurs

You are responsible for maintaining backups of all your work, including any work belonging to your clients.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

Rain Infotech does not warrant that:

• The Software will operate without interruption or error
• The Software will operate correctly with any particular version, edition, or configuration of any third-party program
• The Software will remain compatible with future versions of any third-party program
• The results produced will meet your requirements or be suitable for any particular purpose

8.1 Data Loss

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RAIN INFOTECH PRIVATE LIMITED ACCEPTS NO LIABILITY FOR ANY LOSS, CORRUPTION, DELETION, OR UNINTENDED MODIFICATION OF ANY FILE, DESIGN, DOCUMENT, OR DATA, INCLUDING WORK BELONGING TO YOUR CLIENTS, ARISING FROM OR IN CONNECTION WITH YOUR USE OF THE SOFTWARE.

8.2 General Limitation

To the maximum extent permitted under applicable Indian law, Rain Infotech's total liability arising out of or relating to the Software, whether in contract, tort, or otherwise, shall not exceed the total amount you have paid to us in the three (3) months immediately preceding the event giving rise to the claim.

We shall not be liable for any indirect, incidental, consequential, or special damages, including loss of business, loss of profit, or loss of goodwill, arising from your use of or inability to use the Software.

Nothing in this Agreement limits or excludes liability that cannot be limited or excluded under applicable Indian law, including liability for fraud or wilful misconduct.

You agree to indemnify and hold harmless Rain Infotech Private Limited, its directors, employees, and affiliates from any claim, liability, damage, or expense (including reasonable legal fees) arising from:

1. Your violation of this Agreement
2. Your use of the Software with any third-party program, including any claim relating to your compliance or non-compliance with that program's licence terms
3. Any loss or corruption of data on your computer or the computer of any third party
4. Your use of the Software in violation of applicable law

The Software operates entirely on your computer. It does not connect to our servers or to the internet, does not collect or transmit information about you, your computer, or your designs, does not take screenshots, and does not send diagnostic, telemetry, crash, or usage data.

To let you select the correct program window to work with, the Software reads the name, file path, publisher, and window title of the embroidery design programs running on your computer, and displays this to you on screen. This information is not saved to a file and cannot be sent anywhere, because the Software contains no networking capability.

Your tool position configuration is stored only on your own computer, in a location you choose. The Software may write a local error log file alongside itself if it fails to start. Neither is transmitted to us.

Generating an automation instruction file (.tsai) on TextileStudio.ai consumes credits from your account at the rate displayed at the time of generation. The Software itself is provided at no additional charge.

Credit consumption, refund eligibility, and beta-period arrangements are governed by our Refund Policy.

The Software is currently provided as a beta release for evaluation.

It may contain defects, may not operate reliably, and may be modified, suspended, or withdrawn at any time. Features, behaviour, and pricing may change. Beta-period pricing arrangements are temporary and will be communicated before they end.

We may provide updates, patches, or new versions of the Software. Such updates are governed by this Agreement unless accompanied by a separate agreement. We are not obliged to provide updates, and we may cease supporting older versions.

The Software depends on the behaviour and interfaces of third-party programs that are outside our control. We may modify, suspend, limit, or discontinue the Software, in whole or in part, at any time and without liability to you, including where a third-party program changes in a way that affects compatibility, or where a third-party licensor objects to its operation.

Designs you produce using the Software belong to you, subject to your compliance with this Agreement and with the licence terms of any third-party program used. We claim no ownership over your designs.

This Agreement is effective until terminated.

By you: you may terminate at any time by uninstalling and deleting all copies of the Software.

By us: we may terminate this Agreement immediately if you breach any term. We may also terminate if your TextileStudio.ai account is suspended or closed.

On termination, you must stop using the Software and delete all copies. Sections 3, 7, 8, 9, and 18 survive termination.

You must comply with all applicable laws in your use of the Software, including any applicable export control and sanctions laws.

This Agreement is governed by the laws of India. The courts at Surat, Gujarat have exclusive jurisdiction over any dispute arising from or relating to this Agreement.

Entire Agreement. This Agreement, together with our Terms and Conditions, Privacy Policy, and Refund Policy, constitutes the entire agreement between you and Rain Infotech regarding the Software.

Severability. If any provision is held unenforceable, the remaining provisions continue in full force.

No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

Assignment. You may not assign or transfer this Agreement. We may assign it in connection with a merger, acquisition, or sale of assets.

Changes. We may update this Agreement. The "Last Updated" date reflects the most recent revision. Continued use of the Software after changes take effect constitutes acceptance.

This End User Licence Agreement is governed by the laws of India. Any disputes arising from this Agreement are subject to the exclusive jurisdiction of the courts in Surat, Gujarat.
